Penns Woods Bancorp, Inc. Holds Annual Shareholders Meeting

Williamsport, PA April 30, 2015

Penns Woods Bancorp, Inc., (NASDAQ: PWOD) the holding company for Jersey Shore State Bank and Luzerne Bank, recently held its annual shareholders' meeting.  Richard A. Grafmyre, CFP® President and CEO, presided over the meeting.   

President Grafmyre and Brian L. Knepp, CPA, Senior Vice President/CFO; discussed the company's performance during 2014, as well as discussed future strategic initiatives for the company.   Robert J. Glunk, CEO/President of Luzerne Bank: Tammy Gunsallus, JSSB Central Regional President & Chief Retail Lending Officer; Craig Russell, JSSB Western Regional President; Kevin Weinhoffer, JSSB SVP/Corporate Director Commercial Loans and Credit Services and Jerry Seman, President/ Mortgage Services presented informational reports discussing their areas of responsibility.

 The following directors were re-elected to serve three-year terms for the corporation:

  • William J. Edwards
  • Leroy H. Keiler, III, Esquire
  • Jill F. Schwartz
  • Hubert A. Valencik
  • Ronald A. Walko

All proposals presented to the shareholders were approved: 

  • Conduct a non-binding (advisory) vote on executive compensation
  • Proposal to ratify the appointment of S.R. Snodgrass, P.C. as the company's independent registered public accounting firm
